NOTICE OF SPECIAL GENERAL MEETING
Nurses and Nurse Practitioners of British Columbia (NNPBC)

NNPBC members are invited to attend a Special General Meeting (SGM) to consider and vote on new bylaws for the organization which includes changes to the organization’s current bylaws. The proposed changes primarily relate to transitioning from a council-based governance structure to a skills-based Board of Directors and the dissolution of the existing councils.
The text of the special resolutions to approve the proposed bylaws is set out below in the Business of Meeting section. A copy of the proposed bylaws is included with this Notice, as linked here, as well as a comparison version showing all of the changes being made to the current bylaws.
PURPOSE OF THE MEETING:
To vote on the proposed bylaw amendments, which primarily amend bylaws related to:
- Transition to a skills-based board structure.
- Dissolve the current professional councils (RN, NP, RPN, and LPN).
The proposed bylaw amendments also include related changes to facilitate the governance transition. These amendments include: simplifying the membership structure as council elections will no longer be required, having members directly elect the board of directors, and ensuring that there continues to be equal representation from the nursing designations on the board. The amendments also include some updates to reflect amendments to the Societies Act and the upcoming implementation of the Health Professions and Occupations Act.
This is a pivotal moment in the evolution of NNPBC’s governance, and we encourage all members to participate and have their voices heard.

The following special resolutions will be proposed for approval at the SGM to be held on Thursday, August 21, 2025.
Replacement of Bylaws
RESOLVED as special resolutions that:
The current bylaws of NNPBC be deleted in their entirety and the proposed bylaws be adopted as the bylaws of NNPBC in substitution for, and to the exclusion of, the existing bylaws of NNPBC; and
any one director or officer of NNPBC is authorized and directed to sign all documents and take all actions that are necessary, desirable or useful in carrying out the replacement of the bylaws.

HOW TO VOTE:
Voting will take place using Simply Voting, a secure online voting platform. All eligible voting members who have registered for the SGM will receive an email with a unique voting link and instructions prior to the vote. You must attend the SGM in order to vote.
